MERGERS AND ACQUISITIONS; TRANSACTIONAL WORK

We are experienced in bank mergers and acquisitions, branch acquisitions and sales, and other asset and liability sales transactions (e.g. sales of deposits). In addition to having a breadth of experience in mergers and acquisitions in this field, we are experienced with unique acquisition structures, including advising and coordinating a $2 billion mutual to stock IPO/double merger transaction.

CORPORATE GOVERNANCE AND SECURITIES MATTERS

We have served as counsel to hundreds of financial institutions on a wide variety of corporate and securities matters, including common stock, trust preferred securities and debt offerings (both private and public) and periodic reporting. Examples of the corporate governance services we provide include: advising on appropriate corporate structures and charters, formations of holding companies and advising on Board of Director issues.

REGULATORY AND COMPLIANCE MATTERS

We advise financial institutions on the full spectrum of regulatory compliance concerns that affect the financial services industry. Our team of specialists keep abreast of ongoing regulatory developments, and they are available to answer day-to-day compliance questions as well as assist in complex product development issues. We frequently help our clients to obtain regulatory approval for new initiatives and negotiate agreements with regulatory agencies. We are also often called upon to advise acquiring institutions on regulatory compliance issues that arise during due diligence and deal structuring (e.g., BSA, predatory lending, fair lending, etc.).more

NEW BANK ORGANIZATION

We have extensive experience advising de novo banks in the organizational phase. Additionally, we continue to advise these new financial institutions beyond their start-up period on corporate, regulatory and securities matters.

BROKER DEALER COMPLIANCE

Our broker-dealer clients include full-service national, regional and local firms and broker-dealer affiliates of investment advisers, banks and trust companies. We advise these clients on a wide array of matters, including structuring of joint ventures and other affiliations with other financial institutions.
